We’re Atom…

The bank that’s on a mission to make finance faster, simpler and way more human.

We’ve ditched the stuffy banking model to build something that actually works for our customers, whenever and wherever they need us. To make this happen, we’re looking for like-minded people who can help us reach our goals and think differently.

If you’re ready to build the future of banking, we’d love to meet you.

We really value in-person collaboration, so this role requires 2 days per week in our Newcastle office.

What Will Your Typical Day Look like?

We are looking for a highly credible Company Secretary to serve as the primary governance adviser to our Board of Directors and Executive Committee. Operating as a dedicated governance function, you will report administratively to our Chief People Officer and directly to the Board Chair for governance.

In this critical leadership role, you will hold ultimate responsibility for our strategic corporate governance direction. You will champion the highest standards of corporate governance across the Bank, empower board effectiveness, and ensure full statutory and regulatory compliance. Importantly, you will provide specialist governance expertise to support Atom’s strategic aspirations as we work toward a potential exit event for shareholders.

What Will You be Doing:

  • Board & Committee Governance: Lead the forward calendar planning and agenda setting to ensure all Board and Executive Committee meetings are highly effective forums for decision-making.

  • Meeting Administration: Oversee end-to-end administration, paper production, and timely electronic distribution via the Diligent board portal. You will attend meetings to deliver real-time advice and oversee the production of accurate, high-quality minutes and proactive action logs.

  • Stakeholder Counsel: Provide dedicated, trusted support to the Chair of the Board, Committee Chairs, the CEO, Senior Independent Director, and Non-Executive Directors (NEDs).

  • Director Lifecycle Management: Manage tailored NED induction programs, ongoing Director training (such as Directors’ Duties), and annual Board effectiveness reviews.

  • Statutory Compliance: Act as the trusted authority on best practice, maintain statutory books and registers, and ensure all filings are submitted accurately and on time to Companies House. You will also lead the drafting of key governance sections in the Annual Report and Accounts.

  • Shareholder & Transaction Support: Manage shareholder relations, plan Annual General Meetings (AGMs), and provide specialist secretarial support for major strategic initiatives, financing rounds, capital restructuring, and IPO readiness.

  • Leadership: Supervise and develop the Assistant Company Secretary/Executive Assistant, driving operational efficiency within the Secretariat function through modern digital workflows.

What We Need From You:

  • You must be a Chartered Governance Professional (ACG / FCG) with the Chartered Governance Institute UK & Ireland (CGIUKI) or a qualified legal professional with extensive secretariat leadership experience.
  • Demonstrable company secretarial experience within regulated UK financial services (retail banking, consumer finance, or PRA/FCA-regulated institutions preferred).
  • A proven track record of advising boards through major corporate developments, complex equity/shareholder structures, or preparation for a capital exit event.
  • In-depth knowledge of the UK Companies Act 2006, corporate governance codes, board fiduciary duties, and regulated banking governance frameworks.
  • The ability to operate directly with C-suite and Board members with diplomacy, authority, and high emotional intelligence.
  • High discretion, resilience, the ability to handle conflicting viewpoints impartially.

What Will You Get From Us:

  • Competitive salary
  • Flexible hybrid working in Newcastle
  • 4-day work week
  • Incredibly generous company pension scheme (maximum of 13% of Atom input – candidate can put in more)
  • 22.5 days annual leave plus public holiday
  • Private Medical Insurance, Health Cash Plan, Life Insurance & Critical illness cover
  • £200 “All about me” fund
  • EV Scheme
